CHAPTER 1 GENERAL PROVISIONS

ARTICLE 1 (Name)

This organization shall be named the International Academy of Chief Information Officer (CIO) (hereby “IAC”).

ARTICLE 2 (Purpose)

IAC’s main purpose shall be to foster and support the learning and development of Chief Information Officers of the member economies. Its main activities include academic research and organization of policy dialogues in the field of CIO development which includes society development.

ARTICLE 3 (Mission)

The objectives of the Academy are to study various issues and to pursue the universality of knowledge to advance applied theory in the filed of CIO. These objectives include the followings:

Establishing academic and professional standards based on its research on social phenomenon relating to ICT by elucidating the gradual process of its cause and effect, social and technical relations and impact as well as the framework between the society and ICT on this Information Age.
Facilitating the exchange of information and knowledge and experiences among Academy members, professionals and individuals in academic, business, government professions and non-profit organization who are highly concerned with issues related to CIO.
Introducing a global standard of CIO model by uniting academic resources with practical case studies to strengthen and enhance international competitiveness and sustainable development of the industry for the new Information Age.

ARTICILE 4 (Activities)

In order to achieve the mission described in Article 3 (Mission) the IAC shall undertake the following activities:

Organizing workshops, conventions, symposia, lectures, seminars and meetings
Conducting academic research projects and surveys
Issuing publications such as journals and proceedings
Cooperation with related Academies whenever possible to exchange resources and carry out joint research projects
Offering opportunities to young and top scholarly researchers actively engaged in the field of CIO including postgraduate students
Undertaking global projects
Carrying out any other worldwide activities to accomplish objectives of the Academy

ARTICLE 5 (Characteristics and Culture)

The Academy transcends the boundaries of single academic disciplines to share research goals and engage in a wide range of research projects.
Academic, business and government shall cooperate to conduct joint research projects for creation and dissemination of knowledge in the field of CIO.
The Academy shall be a dynamic and global association with democratic framework.
Holding international Academy members, the Academy shall meet various demands of the world.
The Academy shall facilitate the active exchange of information and ideas among scholars to become a leading association open to any individual engaged in the field of CIO.

CHAPTER 2 MEMBER

ARTICLE 9 (Composition)

Membership of IAC shall be composed of CIOs, ICT Experts / Academicians / Institutions from their respective IAC chapters. Each chapter shall designate an official Secretariat office which will bring more participation and continuity in the activities of IAC.

ARTICLE 10 (Membership)

IAC Chapters with representation in the International IAC Conference on GCIO in Tokyo, Japan are the founder members of the IAC.
Any new applicant for membership shall submit the candidacy to the Secretariat of the IAC Chapter.
Any new member shall be admitted to IAC upon the approval of the respective IAC Chapter.

ARTICLE 11 (Observer)

IT-related international organizations such as UN system agencies or government agencies may participate in the meeting of IAC as observers with the permission of IAC.
With the permission of IAC, the observer may speak at the meetings of IAC.

CHAPTER 3 GENERAL MEETING

ARTICLE 12 (Composition of the General Meeting)

The General Meeting shall be composed of the delegations from IAC Chapters.
Each IAC Chapter may dispatch up to ten CIOs as delegates to the General Meeting.

ARTICLE 13 (General Meeting)

The General Meeting shall be held once a year. The place and date shall be decided at the proceeding General Meeting with the rotation among regions taken into consideration.

ARTICLE 14 (Decisions of the General Meeting)

Decisions of the General Meeting shall be made by consensus. However, if any IAC Delegation objects, the decision shall be taken by a majority vote of the members present.
Each IAC Chapter is entitled to a single vote.

ARTICLE 15 (Rules and Regulations)

The General Meeting will adopt rules and regulations for IAC and standing orders for its proceedings.

CHAPTER 4 OFFICE HOLDERS AND COMMITTEES

ARTICLE 16 (Presidency)

The first President accompanied by three Vice-Presidents of IAC will be announced by the founding IAC Chapters in consensus during the first General Meeting as part of Global e-Governance 2006 conference, June 26-29, 2006 in Tokyo, Japan.
Term of Presidency is 3 years and the election for the new president shall be done during the General Meeting in the following year after the due term. In case, the annual General Meeting is to be held before the due term of presidency and during the 3rd year of presidency’s term; and with consensus of IAC members, the election for the new president shall be done during the General Meeting; and the new president’s term will be effective from the date of expiry of the present president’s term.
Term of Presidency shall be limited to only one term.
The President shall represent IAC and preside over the General Meeting.
In the event of the President’s resignation, death or other reasons disabling the President from carrying out his/her duties, the first Vice-President becomes the temporary President. In this case, the temporary President shall notify such to all Member Economies.

ARTICLE 17 (Vice-Presidency)

The Vice-Presidents shall be recommended to the General Meeting by the elected President of IAC just after the election. The three Vice-Presidents shall represent Asia, Europe and North America.

ARTICLE 18 (Terms of Presidency and Vice-Presidency)

The terms of the Presidency and the Vice-Presidency shall be from the day of his/her election to the next election of the President.

ARTICLE 19 (Committees)

The General Meeting shall establish a Steering Committee and such other committees deemed necessary.
The term of the Steering Committee shall be from the day of the election of a new committee at the next General Meeting.

CHAPTER 8 AMENDMENT

ARTICLE 24 (Amendments)

The Charter may be amended only by the majority of the vote cast and two thirds of the members participating in the General Meeting must be present at the time of the voting

CHAPTER 6 EXPENSES

ARTICLE 22 (Expenses)

The expenses for hosting the General Meeting shall be borne by the host economy.
Expenses of participation, such as airfares and accommodation fees, shall be borne by the participating members.

CHAPTER 7 OFFICIAL LANGUAGE

ARTICLE 23 (Official Language)

The official language of IAC shall be English and the official language of the host economy and all documents shall be drawn up in the official languages. The official languages where deemed appropriate shall be used in the creation of web pages of the official website of each IAC chapter. However in the event the interpretation and meaning are different, the English interpretation and meaning shall be taken into consideration.
